RS Information Systems, to be Acquired by Wyle Labs

McLean, VA, December 3, 2007 – RS Information Systems (RSIS), provider of advanced technical and business solutions in information technology, systems engineering, scientific support, and management consulting, announced today that it has agreed to be acquired by Wyle of El Segundo, California. Terms of the transaction, which is expected to close early in 2008, were not disclosed. Stifel, Nicolaus & Company, Inc. acted as exclusive financial advisor to RS Information Systems.
In RSIS, Wyle has found a partner that diversifies and expands its capabilities and customer base. As a premier IT contractor to the federal government, RSIS was a natural choice for Wyle to complement their Defense and NASA service offerings and move into the civilian agency arena.

RS Information Systems will become Wyle’s fourth strategic business unit. The acquisition of RSIS is expected to increase Wyle’s 2008 annual revenues to approximately $800 million and the number of employees to more than 4,200.

Wyle, a privately held company, is a leading provider of high tech aerospace engineering, testing and research services to government and industrial customers. The company also provides life sciences services, special test systems and other technical support services to the aerospace, defense, nuclear power, communications and transportation industries.
RS Information Systems is focused on information technology and systems integration services. With more than 100 prime contracts with defense, federal civilian and law enforcement agencies, it has more than 1,400 employees at 10 offices and more than 50 customer sites.
